Please read these Terms and Conditions carefully before using the Jadhu platform. They explain your rights, responsibilities and the rules governing the use of our products and services.

Introduction and Acceptance

These Terms of Service (“Terms”) are a legally binding agreement between you and Jadhu. By creating an account, clicking “I Accept”, or downloading, installing, accessing, or using any part of the Jadhu platform — including the mobile application, the VR platform, the web portal, and any associated hardware — you agree to be bound by these Terms.

These Terms incorporate by reference Jadhu’s Privacy Policy, which is an integral part of this agreement. Please read both documents carefully.

If you do not agree to these Terms, you may not access or use the Jadhu platform.

IMPORTANT: JADHU IS NOT A LICENSED MEDICAL OR MENTAL HEALTH CARE PROVIDER. THE PLATFORM DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. 1. Service Overview

Jadhu is a digital life skills, behavioural support, and therapeutic programme platform for neurodivergent individuals. The platform provides structured daily sessions, skill-building activities, AI-powered personalised programming, and progress analytics. It is designed to support children and adults with autism, ADHD, ODD, DCD, cerebral palsy, intellectual disabilities, and related conditions.

The platform includes:

  • The Jadhu mobile application, available on Android and iOS, delivering structured daily sessions on any smartphone or tablet
  • The Jadhu VR platform, running on the Meta Quest 3S or compatible headsets, delivering immersive life skills scenarios and clinical rehabilitation programmes
  • The Jadhu anxiety wristband — an optical heart rate sensor that measures heart rate (BPM) during sessions. Jadhu’s software analyses heart rate patterns to detect signs of physiological stress. The wristband is a monitoring accessory, not a medical device.
  • The parent dashboard, therapist dashboard, and institutional dashboard for progress tracking and session management
  • AI-powered prescription and recommendation features that personalise daily session content based on learner performance and profile

The platform may be accessed directly by families subscribing at jadhuhealth.com, or through schools, clinics, hospitals, and therapy centres that hold institutional licences.

2. Not Medical Advice

The Jadhu platform and all content, sessions, reports, recommendations, and AI-generated outputs available through it are not medical advice, diagnosis, treatment, or a clinical service. Jadhu is not a licensed medical provider, mental health provider, therapist, or clinical practitioner. Your use of the platform does not create any medical or therapeutic relationship between you and Jadhu or between Jadhu and any learner. Nothing in the platform should be used as a substitute for professional medical, psychological, therapeutic, or clinical advice. Always consult a qualified healthcare professional for any medical or therapeutic decision.

The Jadhu anxiety wristband measures heart rate. Heart rate data displayed on the platform is monitoring data only. It is not a diagnostic result. Jadhu is not responsible for any clinical decision made on the basis of platform data.

3. Eligibility and Account Creation

3.1 Who may create an account

You must be at least 18 years old to create an account on the Jadhu platform. By accepting these Terms you confirm that you are at least 18 years old and legally capable of entering into a binding agreement. If you are creating an account on behalf of an organisation (a school, clinic, hospital, or company), you represent that you have authority to bind that organisation to these Terms.

Learners — children, teens, and adults who use the platform to practise skills — do not create their own accounts. All Learner access is created and managed by a parent, guardian, therapist, or authorised institution.

3.2 Parental and guardian responsibility

If you are creating a Learner profile for a person under 18, or supervising a minor’s use of the platform, you represent and warrant that you are that person’s parent or legal guardian, or otherwise have legal authority to consent to their use of the Service and to the processing of their personal data as described in our Privacy Policy.

3.4 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@jadhuhealth.com if you believe your account has been compromised. You must provide accurate and up-to-date information when creating and maintaining your account.

3.5 Institutional accounts

If you access the platform through a school, clinic, hospital, or other institution, your use may be governed by a separate written agreement between your institution and Jadhu, including a Data Processing Agreement. Where such an agreement exists, it supersedes these Terms in the event of a conflict relating to institutional use. Institutions with specific data handling requirements (such as hospitals) may enter into extended data processing agreements with Jadhu to address those requirements.

4. Subscriptions and Payment

Certain features of the Jadhu platform require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in Indian Rupees and are subject to applicable taxes.

4.1 Fees and pricing

Jadhu reserves the right to determine pricing for the platform and all its features. Jadhu will make reasonable efforts to keep current pricing information published at jadhuhealth.com. We encourage you to check our website periodically for current pricing. Jadhu may change the fees for any feature of the platform, including additional fees or charges, by providing you with advance notice of changes before they apply. Jadhu may, at its sole discretion, make promotional offers with different features and pricing to any of its customers. Promotional offers made to other customers do not apply to your subscription unless Jadhu has expressly made the same offer to you.

4.2 Authorisation to charge

You authorise Jadhu to charge all fees for the services and subscription plans you select, as described in these Terms or as published at jadhuhealth.com, including all applicable taxes, to the payment method you specify in your account. If you pay by credit or debit card, Jadhu may seek pre-authorisation of your card to verify it is valid and has sufficient funds before your purchase is completed.

4.3 Subscription and auto-renewal

The platform is offered as a subscription service with automatically recurring payments. By activating a subscription, you authorise Jadhu to charge the applicable subscription fee periodically on a going-forward basis until you cancel. You will have an opportunity to review the subscription fee and billing frequency before activating. Your subscription will continue and renew automatically unless and until you cancel or Jadhu terminates it. You must cancel before your renewal date to avoid being charged for the next period. You may cancel by accessing the cancellation feature in the app under Account, or by contacting us at support@jadhuhealth.com.

4.4 Free trial

Where a free trial is offered, no payment is charged during the trial period. If you cancel before the trial ends, no charge is made. If you do not cancel, your subscription will begin and the applicable fee will be charged at the end of the trial period.

4.5 Price changes

If Jadhu changes the fee for your current subscription plan, we will provide you with advance notice before the change takes effect. Your continued use of the platform after the change takes effect constitutes your acceptance of the new fee.

4.6 Refunds

Except as expressly set out in these Terms or required by applicable law including the Consumer Protection Act 2019 (India), all fees paid are non-refundable. Jadhu will consider refund requests where: (a) you cancel within the refund window published on our website at the time of your purchase; (b) Jadhu terminates your account for its convenience and not for your breach, in which case you are entitled to a pro-rata refund of prepaid fees for the unused billing period; or (c) Jadhu discontinues the platform, in which case you are entitled to a pro-rata refund of any prepaid fees.

4.7 Delinquent accounts

Jadhu may suspend or terminate access to the platform if any amount due is unpaid. Accounts subject to chargebacks or payment disputes may be suspended pending resolution.

4.8 Payment processor

Payments are processed by a third-party payment processor. Jadhu is not responsible for the performance of the payment processor, which has its own separate terms and conditions. You are responsible for any fees charged by your bank, internet service provider, or mobile carrier in connection with your use of the platform, including data transfer fees.

4.9 Hardware

Where hardware (such as the Jadhu anxiety wristband or VR equipment) is purchased through the platform or as part of a subscription, the price and terms of sale will be presented to you at the time of purchase. Hardware is non-returnable except where (a) it arrives damaged — you must notify us within 48 hours of delivery with photographic evidence; or (b) it malfunctions through no fault of the purchaser within the warranty period. The Jadhu anxiety wristband manufacturer warranty documentation is available on request from support@jadhuhealth.com.

4.10 Taxation

All fees include applicable indirect taxes where required by Indian law. GST invoices will be issued for hardware purchases. You are responsible for any additional taxes applicable to your specific circumstances under applicable law.

5. Institutional Programme

5.1 School partner programme

Schools, therapy centres, clinics, and NGOs may join the Jadhu School Partner Programme under separate pricing and terms. The hardware kit (Meta Quest 3S, anxiety wristband, therapist tablet, and accessories) is sold to institutions at cost price and is owned outright by the institution from the date of payment. The VR software licence is provided free to the institution while a minimum of 25 families are enrolled on active paid Jadhu Mobile subscriptions.

5.2 VR session fees

Institutions that deploy Jadhu VR at their centre may charge families a session fee for each VR session. This fee is set by the institution and collected by the institution. There could be a revenue share as agreed by the center and Jadhu.

5.3 Family subscriptions through institutions

Families enrolled through an institution pay standard Jadhu subscription rates directly to Jadhu. The institution does not collect, mark up, or handle subscription fees on behalf of Jadhu.

5.4 Data Processing Agreement

All institutional deployments require a signed Data Processing Agreement between the institution and Jadhu before any learner profiles are activated. Institutions are joint Data Fiduciaries under the DPDP Act 2023 alongside Jadhu. This means both parties bear independent legal responsibilities for the protection of learner data.

6. Licence

6.1 Limited licence to you

Subject to your complete and ongoing compliance with these Terms, Jadhu grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

  • Download and install the Jadhu mobile application on one device you own or control, for personal, educational, or professional therapeutic use
  • Access and use the Jadhu platform including VR content, web portal, and dashboards
  • Use the Jadhu anxiety wristband in conjunction with the platform as described in the product documentation

6.2 Licence restrictions

You may not, and may not permit others to:

  • Reproduce, copy, distribute, or publicly display any part of the platform or its content
  • Modify, translate, adapt, or create derivative works of any part of the platform
  • Reverse engineer, decompile, or attempt to discover source code, AI model weights, or training pipelines
  • Circumvent any security, access control, or licence enforcement mechanism
  • Use the platform for any purpose other than personal, educational, or professional therapeutic use
  • Share account credentials with unauthorised persons
  • Use automated scripts, bots, or crawlers to access the platform
  • Extract or reuse locally cached offline content or AI model weights outside the Jadhu platform

6.3 Feedback

If you provide feedback, suggestions, or ideas about the platform or its content (“Feedback”), you grant Jadhu an irrevocable, perpetual, royalty-free, worldwide licence to use, reproduce, modify, and incorporate that Feedback into the platform or other products and services without any obligation to you. Feedback may be used to improve features, develop new content, and train or refine AI models. Jadhu owns all improvements derived from Feedback.

7. Intellectual Property

All content, software, VR environments, skill games, scenarios, scripts, characters, animations, AI models, AI training pipelines, prescription algorithms, sensor integration software, design, and data compilations available through the Jadhu platform are the exclusive intellectual property of Rezov Technologies Pvt. Ltd. and are protected under Indian and international copyright, trademark, and intellectual property law.

You receive only the limited licence described in Section 6. No ownership rights in any platform content, software, or AI systems are transferred to you at any time. This includes content accessed offline through the platform’s offline delivery capability.

Jadhu’s trademarks, logos, and brand elements may not be used without prior written consent. You may not frame or enclose any Jadhu trademark or logo using framing techniques or meta tags without written authorisation.

8. User Content

8.1 What user content means

User Content includes any information, notes, observations, therapeutic goals, feedback, or other material you submit to the platform, including therapist session notes, parent dashboard comments, and any content entered into free-text fields.

8.2 Licence from you to Jadhu

By submitting User Content to the platform, you grant Jadhu a worldwide, non-exclusive, royalty-free licence to host, store, process, and use your User Content for the purpose of providing the service to you, improving the platform, and conducting anonymised research as described in the Privacy Policy. Jadhu may de-identify or anonymise User Content and use such de-identified data for analytics, research, and platform improvement. De-identified data derived from User Content is owned by Jadhu.

8.3 Your responsibilities

You are responsible for all User Content you submit. You represent and warrant that your User Content does not infringe any third party’s intellectual property or privacy rights, does not contain false or misleading information, and does not violate these Terms or applicable law.

8.4 Automated AI features

Certain features of the platform generate automated or AI-powered outputs based on session performance, learner profile, and programme data. These outputs — including daily session recommendations, prescription engine selections, and progress insights — are provided for informational and educational purposes only. They do not constitute medical, therapeutic, or clinical advice. You must not rely on automated outputs as a substitute for professional judgment.

9. Children Under 13 (COPPA)

Jadhu does not knowingly collect personal information directly from children under 13 without verifiable parental consent. Where parental or guardian consent has been provided, de-identified information including heart rate data and usage data may be collected from learners of any age in order to operate the service.

If you believe a child under 13 has provided personal information to Jadhu without appropriate consent, please contact us at privacy@jadhuhealth.com. We will delete that information promptly upon confirmation.

When schools or educational institutions use Jadhu with children under 13, the institution may provide COPPA consent on behalf of parents for educational purposes, consistent with COPPA’s school official exception.

10. Prohibited Conduct

By using the Jadhu platform, you agree not to:

  • Use the platform for any illegal purpose or in violation of applicable law
  • Use the platform to harm, harass, threaten, or demean any other person
  • Violate any third party’s intellectual property, privacy, or other rights
  • Interfere with or attempt to circumvent any security or access control feature of the platform
  • Reverse engineer, decompile, or attempt to extract source code, AI model weights, or training data
  • Upload or transmit any virus, malware, spyware, or other harmful code
  • Collect personal information about any other user without their consent
  • Interfere with the operation of the platform or any other user’s enjoyment of it
  • Impersonate any person or entity or falsely claim an affiliation with Jadhu
  • Use the platform as part of research that requires Institutional Review Board (IRB) or Ethics Committee approval without Jadhu’s prior written consent
  • Sell, transfer, or sublicence access to the platform or any content within it
  • Use the platform in any way that creates a risk to the physical or emotional safety of any learner

Jadhu reserves the right to suspend or terminate access to the platform immediately and without notice if prohibited conduct is detected.

11. Third-Party Services and Software

11.1 Third-party services

The Jadhu platform integrates with or links to third-party services including Meta Quest (VR hardware), Razorpay (payment processing), WhatsApp (session notifications), and Google Analytics (web analytics). Jadhu is not responsible for the content, privacy practices, or data handling of any third-party service. Use of these services is governed by their own terms and privacy policies.

Meta Platforms Technologies operates the Meta Quest headset and operating system independently. Jadhu is not responsible for Meta’s data collection or any aspect of the Meta Quest experience outside the Jadhu application itself.

11.2 Third-party software components

The Jadhu platform may incorporate open-source software components licenced under their own terms. Nothing in these Terms restricts your rights under any applicable open-source licence.

11.3 Third-party analytics

Jadhu engages third-party analytics providers under contractual agreements that restrict their use of data to the analytics purposes for which they are engaged. All analytics providers are prohibited from independently using Jadhu user data.

12. Intellectual Property Complaints

If you believe that content on the Jadhu platform infringes your intellectual property rights, please send a written notice to legal@jadhuhealth.com including: a description of the work you believe has been infringed; a description of the infringing material and its location on the platform; your contact details; a statement that you have a good faith belief the use is not authorised; and your signature or that of an authorised representative.

Jadhu will investigate complaints promptly and may remove infringing content. Accounts that are repeatedly found to infringe intellectual property rights will be terminated.

13. Safety

13.1 General safety

You are responsible for ensuring a safe physical environment when using the Jadhu platform. Stop using the platform immediately if any user experiences discomfort, dizziness, nausea, anxiety, or any adverse reaction.

13.2 VR safety

Using immersive VR involves physical movement. Jadhu is not responsible for physical injury resulting from use of VR features. You must:

  • Ensure a clear physical space free of obstacles before every VR session
  • Supervise children at all times during VR sessions
  • Not use VR while seated in a moving vehicle
  • Follow all Meta Quest safety guidelines in addition to Jadhu’s guidelines
  • Stop VR sessions immediately if the user feels unwell, dizzy, or experiences motion sickness
  • Consult a medical professional before using VR with anyone with epilepsy, photosensitivity, vertigo, or severe anxiety

13.3 Heart rate sensor safety

The Jadhu anxiety wristband is an optical heart rate sensor. It is a monitoring device only. Heart rate readings are not diagnostic. Do not use heart rate data as the sole basis for any clinical decision. The wristband should be worn only as described in the product documentation.

14. Modifications to These Terms and the Platform

14.1 Changes to Terms

Jadhu reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms at jadhuhealth.com/terms and by sending an in-app notification. Material changes take effect 30 days after notification. Continuing to use the platform after that date constitutes acceptance. Disputes arising under these Terms will be resolved under the version of the Terms in effect at the time the dispute arose.

14.2 Changes to the platform

Jadhu reserves the right to modify, add, or discontinue any feature or aspect of the platform at any time, with or without notice. If Jadhu discontinues the platform entirely, you will receive a pro-rata refund of any prepaid subscription fees for the unused period.

15. Term and Termination

15.1 When these Terms begin

These Terms take effect when you first accept them, create an account, or access or use any part of the platform, and continue until terminated.

15.2 Termination by you

You may terminate your account and these Terms at any time by deleting your account in the app settings or by contacting us at support@jadhuhealth.com.

15.3 Termination by Jadhu

Jadhu may terminate or suspend your access to the platform immediately and without notice if you violate these Terms, if required by law or regulation, or for any other reason in Jadhu’s discretion. If Jadhu terminates your account for convenience (and not for your breach), you will receive a pro-rata refund of any prepaid fees for the unused period.

15.4 Effect of termination

Upon termination: your licence to use the platform ends immediately; you must stop using all platform features; any unpaid fees become immediately due; and the following sections survive termination: 6.3 (Feedback), 7 (Intellectual Property), 8.2 (Licence from you to Jadhu), 14 (Modifications), 16 (Indemnity), 17 (Disclaimers), 18 (Limitation of Liability), 19 (Dispute Resolution), 20 (General Terms).

15.5 Time limit on claims

Any claim or cause of action arising from your use of the platform or these Terms must be commenced within one year of the date on which the claim arose. Claims not brought within this period are permanently barred.

16. Indemnity

You agree to defend, indemnify, and hold harmless Rezov Technologies Pvt. Ltd. and its officers, directors, employees, consultants, affiliates, and agents from and against any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from or connected with: your unauthorised or improper use of the platform; your violation of these Terms or any applicable law; your violation of any third party’s rights including intellectual property or privacy rights; or any dispute between you and a third party arising from your use of the platform.

17. Disclaimers

THE JADHU PLATFORM AND ALL CONTENT, SESSIONS, REPORTS, AI OUTPUTS, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. JADHU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JADHU DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE PLATFORM INVOLVES IMMERSIVE VIRTUAL REALITY. JADHU IS NOT RESPONSIBLE FOR ANY PHYSICAL INJURY, MOTION SICKNESS, DISCOMFORT, OR PROPERTY DAMAGE RESULTING FROM USE OF VR FEATURES. JADHU IS NOT RESPONSIBLE FOR ANY ADVERSE EMOTIONAL OR BEHAVIOURAL REACTION DURING OR AFTER PLATFORM USE. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. NO ADVICE OR INFORMATION OBTAINED FROM THE PLATFORM OR JADHU CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Nothing in these disclaimers limits any right you may have under the Consumer Protection Act 2019 (India) or other applicable consumer protection law that cannot be excluded or limited.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JADHU IS NOT LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING DAMAGES FOR LOSS OF DATA, LOSS OF GOODWILL, PHYSICAL INJURY, OR ANY OTHER INTANGIBLE LOSS, EVEN IF JADHU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. JADHU’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR THESE TERMS IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID JADHU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ₹5,000. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

Nothing in this limitation of liability excludes or limits Jadhu’s liability for: death or personal injury caused by Jadhu’s negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded under the Consumer Protection Act 2019 (India) or other applicable mandatory law.

19. Dispute Resolution

19.1 Informal resolution first

If you have a dispute with Jadhu, please contact us at support@jadhuhealth.com first. We will attempt to resolve the dispute informally within 30 days. Most disputes can be resolved this way without formal proceedings.

19.2 Governing law

These Terms are governed by the laws of India. The courts of Chennai, Tamil Nadu, India have exclusive jurisdiction over any dispute arising from or relating to these Terms or your use of the platform.

19.3 Arbitration

If informal resolution fails, disputes may be referred to arbitration under the Arbitration and Conciliation Act 1996 (India). The seat of arbitration is Chennai, Tamil Nadu. The arbitration will be conducted in English. The arbitrator’s decision is final and binding.

19.4 Exceptions

Either party may seek injunctive or other equitable relief from a court of competent jurisdiction at any time where necessary to protect intellectual property rights or prevent irreparable harm without being required to first attempt informal resolution or arbitration.

19.5 International users

If you access the platform from outside India, you are responsible for compliance with local laws. Indian law governs these Terms regardless of where you access the platform from.

20. General Terms

20.1 Entire agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Jadhu regarding your use of the platform. They supersede all prior agreements and understandings.

20.2 Assignment

You may not assign or transfer your rights or obligations under these Terms without Jadhu’s prior written consent. Jadhu may assign these Terms at any time without your consent.

20.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

20.4 No waiver

Jadhu’s failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.

20.5 Electronic communications

By using the platform, you consent to receiving electronic communications from Jadhu, including session notifications via WhatsApp, account notices by email, and policy update notifications through the app. These electronic communications satisfy any legal requirement that notices be in writing.

20.6 Privacy Policy

Jadhu’s Privacy Policy, available at jadhuhealth.com/privacy, is incorporated into these Terms by reference and forms part of this agreement. Please read it carefully.

20.7 Apple iOS notice

If you use the Jadhu app on an iOS device, the following applies: these Terms are between you and Jadhu only, not with Apple Inc. Apple is not responsible for the Jadhu platform or its content. Apple has no obligation to provide maintenance, support, or warranty for the Jadhu app beyond what is required by applicable law. Apple is not responsible for any claims relating to the Jadhu app including product liability, regulatory compliance, or consumer protection claims.

20.8 Android and Google Play notice

If you download the Jadhu app from the Google Play Store, Google LLC is not a party to these Terms and is not responsible for the Jadhu platform or its content. These Terms are between you and Jadhu only.
